Terms of Service

1. Acceptance

By creating an account, downloading our app, or using any Tollvera service in the United States, you agree to these Terms of Service ("Terms") and our Privacy Policy.

2. Who we are

Tollvera Inc, a Delaware corporation, with offices at 1449 S Michigan Ave #1046, Chicago, IL 60605, operates the Tollvera platform in the United States.

3. Your account

• You must be at least 18 years old to create an account
• You are responsible for keeping your login credentials secure
• You must provide accurate information when registering
• You are responsible for all activity under your account
• You may close your account at any time by contacting us

4. Payments

• Payment processing is handled by Stripe, Inc. and other PCI-DSS compliant processors
• You authorize Tollvera to charge your selected payment method for sessions, subscriptions, or wallet top-ups
• Refunds are handled on a case-by-case basis per our refund policy
• Chargebacks that are later found to be invalid may result in account suspension

5. Permitted use

You agree not to:

• Use the service for any illegal purpose
• Attempt to bypass payment, access controls, or security measures
• Reverse-engineer, decompile, or disassemble our software
• Impersonate another person or vehicle
• Use automated means (bots, scrapers) without written permission
• Resell, sublicense, or redistribute the service without agreement

6. Operator and venue terms

When you use Tollvera at a specific parking lot, charging station, or venue, additional terms set by the operator of that location may apply (pricing, grace periods, maximum stay, etc.). Tollvera is not responsible for operator-specific rules.

7. Service availability

We work hard to keep Tollvera available, but we do not guarantee uninterrupted service. We may perform maintenance, updates, or suspend the service without notice for security or operational reasons. Target uptime is 99.9% for enterprise and operator-tier agreements.

8. Intellectual property

All intellectual property in the Tollvera platform, including software, trademarks, logos, and content, belongs to Tollvera Inc or its licensors. You receive a limited, non-exclusive, non-transferable license to use the service for its intended purpose.

9. Disclaimer and limitation of liability

The service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. To the maximum extent permitted by law, Tollvera's total liability for any claim relating to the service is limited to the amount you paid us in the 12 months preceding the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, or for losses arising from third-party operators, venues, or payment processors.

10. Indemnification

You agree to indemnify and hold harmless Tollvera Inc, its officers, directors, and employees from any claims arising out of your misuse of the service, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms, suspected fraud, or non-payment. You may terminate at any time by closing your account. Termination does not relieve you of outstanding payment obligations.

12. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute will be resolved in the state or federal courts located in Delaware, unless small-claims court is appropriate.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced via email or in-app at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
